Dr. Olumide Famuyiwa is Senior Partner and Head of the Corporate Practice. He holds a First Class degree in Law from the University of Ibadan, where he ranked in the top 1 percent, and won the overall Best Student Award in Civil Litigation at the Nigerian Law School. He also earned a Master of Laws in Commercial Law and a DPhil in Financial Law from the University of Oxford.
His core practice focuses on corporate and commercial advisory, mergers and acquisitions, private equity, joint venture structuring, capital markets and corporate governance. He advises boards and senior management on transactional strategy, shareholder arrangements, fiduciary duties, complex cross border restructurings and regulatory compliance in regulated sectors including banking, oil and gas and infrastructure.
He is qualified to practise in both Nigeria and England and brings an international perspective to domestic and cross border transactions. He has additional training in international arbitration and routinely integrates dispute prevention strategies into transactional work. He leads multidisciplinary teams that combine legal, financial and investigative capability to protect client value.
Dr. Famuyiwa has published on arbitration, financial regulation, corporate law and oil and gas law and regularly delivers training for in house counsel and corporate clients.
- Mergers and acquisitions and joint ventures; Lead counsel on cross border and domestic acquisitions and joint venture formations. Responsibilities included due diligence, negotiation of sale and investment agreements, regulatory filings and post closing integration planning.
- Private equity and investment transactions; Advised sponsors and portfolio companies on fundraising, shareholder agreements and exit structures. Structured investor rights and governance arrangements to balance control and growth objectives.
- Corporate governance and board advisory; Advised boards and audit and risk committees on governance frameworks, director duties, compliance remediation and regulatory engagement. Drafted governance charters and bespoke compliance roadmaps.
- Capital markets and financing; Advised issuers and lenders on debt and equity offerings, refinancing and syndicated facilities and on security and intercreditor arrangements for cross border financings.
- Debt recovery and enforcement in a transactional context; Designed creditor strategies and negotiated workouts where enforcement issues affected transactions or restructurings. Coordinated preservation steps to protect transactional value.
